"Directors Duties 101" - Introduction to your obligations as company Director

If you're a director of a company, it is imperitive that you understand the full extent of your duties and obligations. This seminar will introduce you to your directors duties as codified under the Corporations Act 2001 (Cth) (Act). In recent years many high profile cases have hightened attention on the duties and obligations of Company Directors and ASIC is taking a more proactive approach to ensuring compliance.

Directors Duties 101

The purpose of this seminar to equip participants with a basic understanding of the nature their duties as a Director of a company.

The seminar will cover the following duties of directors as codified in the Act:

• Duty to act with care and diligence;
• Duty to exercise powers in good faith;
• Duty not to improperly use position;
• Duty not to use information for personal advantage;
• Duty to prevent insolvent trading;
• Reliance on information and advice from delegates;
• Responsibility for actions of delegate;
• Material personal interest - director's duty to disclose.

Various real world common law cases highlighting the above will be used as illustrations.
